Agreement to Terms

These Terms apply to all users of the Govtract platform, including visitors, registered free users, and paid subscribers. Your use of the platform constitutes your agreement to these Terms, our Privacy Policy (incorporated herein by reference), and any additional policies or guidelines we may publish.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and/or by displaying a prominent notice within the application at least 7 days before changes take effect. Your continued use of the platform after the effective date of any modification constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use and may request account deletion.

These Terms supersede any prior agreements between you and Govtract relating to the platform. No oral or written representations outside of these Terms shall modify or supplement them unless agreed in writing by an authorized representative of Govtract.

What Govtract Is and Is Not

Govtract is an AI-powered productivity platform designed to help small businesses navigate the federal government contracting process. Our tools include a live federal contract feed sourced from SAM.gov, an AI-powered capability statement generator, a bid preparation assistant, an AI contracting advisor, a document vault, and a leaderboard of federal contract award data sourced from USASpending.gov.

Govtract is explicitly not any of the following:

• A government agency or affiliated with any government body, including the U.S. General Services Administration, the Small Business Administration, SAM.gov, or any federal department.
• A law firm or provider of legal advice. Nothing on this platform constitutes legal advice, and you should consult a licensed attorney for matters involving government contracting law, certifications, compliance, or contract disputes.
• A guarantee of contract eligibility, bid success, or award. Compatibility scores, bid recommendations, and AI guidance are informational estimates only.
• A licensed procurement agent. We do not submit bids, register your business, or act on your behalf with any government entity.
• A source of real-time or guaranteed-accurate contract data. Contract listings are sourced from government APIs and may be delayed, incomplete, or reflect opportunities that have since been modified or closed.

Eligibility

To use Govtract you must:

• Be at least 18 years of age.
• Be legally capable of entering into binding contracts under the laws of your jurisdiction.
• Use the platform for lawful business purposes only.
• Not be prohibited from using the platform under applicable laws or regulations.
• Provide accurate, complete, and current information during registration and throughout your use of the platform.

By creating an account, you represent and warrant that you meet all of the above eligibility requirements. If you are using the platform on behalf of a business entity, you additionally represent that you have the authority to bind that entity to these Terms, and that the entity agrees to be bound by them.

We reserve the right to refuse service, terminate accounts, or restrict access to any person or entity at our sole discretion, including where we have reason to believe eligibility requirements are not met.

Account Registration and Security

You must create an account to access most features of the platform. When you register, you agree to:

• Provide accurate, complete, and truthful information including your email address and business details.
• Keep your account credentials confidential. You must not share your password with any other person or entity.
• Notify us immediately at govtract@gmail.com if you become aware of any unauthorized access to or use of your account.
• Accept responsibility for all activity that occurs under your account, whether or not authorized by you.
• Maintain only one account. Creating duplicate accounts to circumvent usage limits or access restrictions is prohibited.

We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials. If we suspect that your account has been compromised or is being used fraudulently, we reserve the right to suspend access pending investigation.

You may not transfer your account to another person or entity without our prior written consent.

Subscription Plans and Billing

Govtract offers the following plans:

• Free Plan — access to core features with limited usage quotas including a limited number of AI messages per month and a limited number of capability statement generations.
• Govtract Pro — $29.00 USD per month, billed monthly, with higher usage limits, AI contract compatibility scoring, and access to all current and future Pro features.

All billing is processed through Stripe. By subscribing to Govtract Pro, you authorize us to charge your payment method on a recurring monthly basis until you cancel. You agree to Stripe's terms of service in addition to these Terms.

• Subscriptions automatically renew each month unless cancelled before the renewal date.
• You may cancel your subscription at any time from the Settings page. Cancellation takes effect at the end of the current billing period. You retain Pro access until that date.
• We do not offer prorated refunds for partial months. If you cancel mid-cycle, you will not be charged for the next month but will not receive a refund for the current month.
• If a payment fails, we will attempt to retry the charge. If payment cannot be collected after reasonable attempts, your account may be downgraded to the free plan.
• All prices are in USD. We reserve the right to change pricing with at least 30 days advance notice to existing subscribers. Price changes will not affect your current billing period.
• We may offer promotional pricing, trial periods, or discounts at our discretion. Promotional rates are not guaranteed and may be discontinued at any time.

If you believe you have been charged in error, contact us at govtract@gmail.com within 30 days of the charge and we will investigate.

Acceptable Use Policy

You agree to use Govtract only for lawful purposes and in a manner consistent with these Terms. You specifically agree not to:

• Use the platform for any illegal purpose or in violation of any federal, state, local, or international law or regulation.
• Submit false, fraudulent, or misleading business information, including misrepresenting your certifications, employee count, UEI number, or business identity.
• Use AI-generated content to submit fraudulent, fabricated, or materially misleading documents to any government agency, contracting officer, or procurement official.
• Attempt to reverse engineer, decompile, disassemble, or derive the source code of the platform.
• Scrape, crawl, or use automated tools to extract data from the platform without our express written consent.
• Share, sublicense, resell, or otherwise transfer your account or access to any third party.
• Circumvent usage limits by creating multiple accounts or using other technical means.
• Introduce malware, viruses, or any harmful code into the platform.
• Attempt to gain unauthorized access to any part of the platform, its servers, or connected systems.
• Interfere with or disrupt the integrity or performance of the platform or its infrastructure.
• Impersonate any person, business, or government entity.
• Use the platform to facilitate spam, unsolicited communications, or any activity that could harm Govtract's reputation or operations.
• Use the platform in any way that could expose Govtract to liability or reputational harm.

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund, and may expose you to civil or criminal liability.

AI-Generated Content

Govtract uses AI models provided by Anthropic to generate capability statements, bid guidance, contract analysis, and other content. By using AI features, you acknowledge and agree to the following:

• AI-generated outputs are provided for informational and productivity purposes only. They do not constitute legal, financial, procurement, or professional advice of any kind.
• You are solely responsible for reviewing, editing, verifying, and making decisions based on any AI-generated content before submitting it to any government agency, contracting officer, or third party.
• Govtract does not guarantee the accuracy, completeness, legality, or fitness for purpose of any AI-generated content. AI systems can make errors, produce outdated information, or generate content that is not appropriate for your specific situation.
• You must not submit AI-generated content to government agencies without independently verifying its accuracy and compliance with applicable regulations, solicitation requirements, and federal acquisition rules.
• Contract compatibility scores and bid readiness assessments are algorithmic estimates based on your profile data and publicly available information. They are not determinations of legal eligibility and should not be relied upon as such.
• You retain full responsibility for the accuracy of any business information you provide as inputs to the AI. Govtract is not responsible for outputs generated from inaccurate inputs.
• Do not input into any AI feature any information you consider strictly confidential, including passwords, social security numbers, EINs used for identity verification, banking credentials, or proprietary trade secrets.
• Govtract reserves the right to monitor AI usage patterns for abuse detection and platform improvement, in accordance with our Privacy Policy.

Contract Data and Accuracy

The contract feed displayed on Govtract is sourced from the SAM.gov API and the USASpending.gov API, which are publicly available government data sources. While we strive to present this data accurately:

• We do not guarantee that contract listings are current, complete, or accurately reflect the live status of any solicitation.
• Contract data may be delayed, cached, or reflect opportunities that have since been modified, cancelled, or awarded.
• NAICS codes, set-aside designations, deadlines, and award values displayed are sourced from government APIs and may contain errors.
• The leaderboard data sourced from USASpending.gov represents historical award data and may not reflect current business status or capabilities.
• You are solely responsible for verifying any contract details directly on SAM.gov before taking any action, including submitting a bid.

Govtract is not liable for any missed deadlines, ineligible bid submissions, or other consequences resulting from reliance on contract data displayed on our platform without independent verification.

Intellectual Property

Your content: You retain full ownership of all business information, documents, and data you upload or input into the platform. By using the platform, you grant Govtract a limited, non-exclusive, royalty-free license to store, process, and transmit your content solely as necessary to provide the services described in these Terms. We do not claim ownership over your business information or generated documents.

AI-generated content: Content generated by the AI using your inputs may be used freely by you for your own business purposes. You own the outputs generated from your inputs. We do not claim ownership of AI outputs generated for you.

Platform IP: Govtract, including its design, codebase, branding, product architecture, underlying technology, and all proprietary tools, is the intellectual property of Adriel Hen doing business as Govtract. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the platform without our express written consent.

Feedback: If you provide feedback, suggestions, or ideas about the platform, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without compensation or attribution to you.

Third-Party Services and Links

Govtract integrates with and links to third-party services including SAM.gov, USASpending.gov, Stripe, Supabase, Anthropic, and Vercel. Your use of these services is governed by their respective terms and privacy policies. We have no control over and assume no responsibility for the content, availability, or practices of third-party services.

When you click through to SAM.gov or any other government website, you leave the Govtract platform and are subject to that site's terms and policies. We are not responsible for any actions you take or agreements you enter into on third-party sites.

Stripe's terms of service govern all payment processing. By subscribing to Govtract Pro, you also agree to Stripe's terms available at stripe.com/legal.

Referral Program

Govtract may offer a referral program that allows users and approved affiliates to share custom referral links. If such a program is active:

• Referral links must be shared honestly and transparently. You may not misrepresent Govtract's features, pricing, or capabilities in promotional content.
• Referral rewards, commissions, or credits are subject to the specific terms of the referral program as published at the time of participation.
• We reserve the right to withhold, reverse, or forfeit referral rewards if we determine that referrals were obtained through fraudulent, misleading, or prohibited means.
• Referral links may not be used in paid advertising without prior written approval from Govtract.
• We reserve the right to modify, suspend, or terminate the referral program at any time without liability.
• Referral commissions paid to affiliates are the responsibility of the affiliate to report as income for tax purposes.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GOVTRACT AND ITS OPERATORS PROVIDE THE PLATFORM AND ALL CONTENT, TOOLS, AI FEATURES, AND SERVICES "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING.

We do not warrant that:

• The platform will be available, uninterrupted, timely, secure, or error-free at all times.
• Any errors or defects will be corrected.
• The platform or its servers are free of viruses or other harmful components.
• Contract data is accurate, current, or complete.
• AI-generated content is accurate, appropriate, legally compliant, or fit for submission to any government entity.
• Use of the platform will result in winning any government contract, improving bid success rates, or achieving any business outcome.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOVTRACT, ITS OPERATORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING BUT NOT LIMITED TO:

• Lost contracts, lost revenue, lost profits, or lost business opportunities.
• Errors in or reliance on AI-generated capability statements, bid documents, or contracting guidance.
• Missed bid deadlines due to inaccurate or delayed contract data.
• Unauthorized access to or alteration of your data.
• Deletion, corruption, or failure to store any content you upload.
• Any government agency's rejection, disqualification, or adverse action related to documents generated using our platform.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS OR RELATED TO YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO GOVTRACT IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Govtract and its operators, officers, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the platform or any AI-generated content.
• Any documents or bid submissions you submit to government agencies using content generated by Govtract.
• Your violation of these Terms or any applicable law or regulation.
• Your infringement of any third-party rights, including intellectual property rights.
• Any false or misleading information you provide through the platform.
• Any disputes between you and a government agency, contracting officer, or teaming partner arising from your use of the platform.

Termination

Either party may terminate the relationship governed by these Terms at any time.

Termination by you: You may close your account at any time by contacting govtract@gmail.com. If you are a paid subscriber, cancellation will take effect at the end of your current billing period. No refunds will be issued for unused time.

Termination by us: We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for any reason including but not limited to:

• Violation of these Terms or our Acceptable Use Policy.
• Suspected fraudulent activity or abuse of the platform.
• Failure to pay subscription fees.
• Extended inactivity on free accounts.
• Legal or regulatory requirements.

Upon termination, your right to access the platform ceases immediately. We may retain certain data as described in our Privacy Policy. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. You agree that any dispute, claim, or controversy arising from or relating to these Terms or your use of the platform shall be resolved exclusively in the state or federal courts located in Nassau County, New York, and you consent to personal jurisdiction in those courts.

Before initiating any formal legal proceeding, you agree to contact us at govtract@gmail.com and provide a written description of the dispute. We will attempt to resolve the dispute informally within 30 days. If informal resolution fails, either party may pursue formal legal remedies.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Govtract. All claims must be brought individually.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Force Majeure

Govtract shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action, internet or infrastructure outages, third-party service failures (including Supabase, Stripe, Anthropic, or Vercel), or any other event outside our reasonable control. In such events, our obligations under these Terms are suspended for the duration of the force majeure event.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features or promotions, constitute the entire agreement between you and Govtract with respect to the platform and supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral, relating to the subject matter herein.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Govtract.
